Elon Musk incorporated X.AI Corp. in Nevada, a filing first reported by the Wall Street Journal and confirmed through state records. The paperwork named Musk as director and Jared Birchall, who manages Musk’s family office, as secretary; it authorised the sale of 100 million shares. Nevada filings around the same date also registered X Holdings Corp. and X Corp., the entities created for Musk’s ownership of Twitter, though X.AI was a separate corporation.

The filing gave no detail on the company’s plans beyond identifying it as a new artificial intelligence venture. Reporting at the time noted the timing was awkward for Musk, who weeks earlier had been among the signatories of an open letter calling for a six-month pause on training AI systems more powerful than GPT-4, and who had separately made comments about wanting to build a “maximum truth-seeking” alternative to what he described as politically biased AI systems from OpenAI and Google. He had also been hiring researchers from DeepMind and elsewhere in the preceding weeks.

The incorporation was a paperwork event rather than a product announcement — no model, team or public strategy accompanied it — but it marked the formal starting point of what Musk announced as xAI in July 2023 and which released its first model, Grok, that November.
